1. Acceptance of Terms; Who May Use Stonepile
These Terms of Service (“Terms”) govern use of the Stonepile mobile application (the “Service”), operated by STAK Athletics LLC, a Virginia limited liability company (“we,” “us”). By creating an account or otherwise using the Service, you agree to these Terms, including the arbitration agreement and class-action waiver in Section 11. If you are under 18, a parent or guardian should review these Terms with you before you use the Service.
2. Eligibility
You must be at least 13 years old to create an account or use the generally available Service. By creating an account, you represent that you meet this requirement. We use an in-app age gate; self-declared under-13 signups are not permitted. The Service is currently distributed as an invite-only TestFlight beta. Account roles may include player, parent, or coach. Parent-created under-13 accounts are described in the parent Terms addendum and are not a public signup path. See Section 13.
3. Description of Service
Stonepile provides tools for basketball players to log physical development, review training video, use a height-estimation feature, build a player portfolio, and connect with teammates, parents, and coaches within age-based safety controls. Features may include Library/Mirror sharing, report and block tools, a rules-based Stonepile AI portfolio gap coach (with consent), a curated Runs venue directory (no live user GPS in this build), and Marketplace links that open merchant sites in the browser. Features and availability may change as the Service develops.
4. Accounts
You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. Notify us promptly at admin@stonepile.com if you suspect unauthorized use of your account.
5. User Content & Conduct
5.1 Ownership
You retain ownership of the photos, videos, physical-metrics data, and other content you upload to Stonepile (“User Content”).
5.2 License Grant
By uploading User Content, you grant us a limited, non-exclusive license to store, process, and display that User Content solely to operate the Service and as directed by your sharing settings, including the physical-metrics/height-media sharing restrictions described in our Privacy Policy.
5.3 AI Processing and Marketing Use
We may use User Content and structured portfolio signals to power certain in-app features — including the current rules-based Stonepile AI gap coach after you grant in-app consent — and for internal product improvement, as described in our Privacy Policy. We do not currently send User Content to a third-party LLM coach. We do not permit a third party to use your User Content to train that third party’s own models for that third party’s own purposes, and does not use User Content for marketing or promotional purposes, except with a separate, affirmative opt-in as described in our Privacy Policy.
5.4 License Survives Deletion Only as Necessary
When User Content or an account is deleted, the license granted in Section 5.2 terminates, except to the extent a copy must briefly persist in encrypted backups during the backup-expiration window described in our Privacy Policy’s retention schedule, or as necessary to comply with law or resolve an active safety report.
5.5 Conduct Rules
You agree not to upload content that is unlawful, harassing, bullying, sexual, threatening, hateful, or that you do not have the right to share, and not to share someone else’s private information. Treat other users respectfully. You can report and block in the App. We review reports of policy-violating content and, where content appears to depict apparent child sexual abuse material, will preserve and report it to NCMEC as required by federal law and cooperate with law enforcement. Stonepile is not an emergency service — if someone is in danger, contact local emergency services.
6. Parents and Coaches
6.1 Parent Accounts and Family Linking
Parents or guardians may create a parent account and use Family linking to associate with a teen player account. Family linking is a product safety and relationship feature. It is not COPPA consent for children under 13. A separate parent Terms addendum covers parent-created under-13 accounts used only in founder-controlled architecture tests. General under-13 onboarding is off. Parents should supervise teen use of the Service as appropriate.
6.2 Coach Conduct
Coaches must treat players respectfully and are subject to the same content and conduct rules as any other user.
6.3 Coach Data Access
A coach’s access to a player’s information is governed by the sharing controls described in our Privacy Policy — by default, only what a player explicitly shares, not full physical-metrics history, height-estimation photos, or private development modules. Unrelated coach-to-minor connections may be restricted by product settings during testing.
6.4 Future Organization-Sponsored Accounts
If we later offer accounts provisioned or sponsored by a school, club, or organization, that model will require its own separately drafted agreement and legal review before launch; nothing in these Terms authorizes it today.
7. Height-Estimation Feature; Physical Metrics
The height-estimation feature is a development-tracking tool that calculates an estimated height from a photograph and is not a certified or medical-grade measurement device. We are not liable for decisions made in reliance on a height estimate or any other physical-development metric. Retention and sharing of height-estimation photos and physical-metrics data are governed by our Privacy Policy.
8. Intellectual Property
The Stonepile name, logo, app design, and underlying software are the property of STAK Athletics LLC and may not be copied, modified, or distributed without our written permission.
9. Disclaimers
The Service is provided “as is” and “as available,” without warranties of any kind, express or implied. Stonepile is a development-tracking and communication tool; it does not provide medical, athletic training, or professional coaching advice, and should not be relied upon as such. Stonepile AI suggestions are informational only.
10. Indemnification
To the extent permitted by law, you agree to indemnify and hold STAK Athletics LLC harmless from claims, damages, and reasonable expenses (including attorney’s fees) arising from your breach of these Terms, your User Content, or your violation of any law or third-party right — except to the extent the claim arises from our own violation of law or these Terms.
11. Dispute Resolution: Arbitration and Class Action Waiver
Please read this section carefully. It affects your legal rights, including your right to go to court and to have a jury trial.
11.1 Plain-Language Summary
Most disputes between you and STAK Athletics LLC will be resolved through individual binding arbitration in front of a neutral arbitrator, not a judge or jury, and not as part of a class, collective, or representative action. You can opt out of this arbitration agreement within 30 days as described in Section 11.8. Arbitration changes the forum and procedure for resolving a dispute; it does not eliminate our legal responsibility or eliminate the remedies the law otherwise makes available to you.
11.2 Who Is Covered
This Section applies mutually to STAK Athletics LLC and to you as the account holder who accepted these Terms under Section 2 (including eligible users ages 13 and older). If you are under 18, a parent or guardian should review this Section with you. We do not reserve court access for itself while requiring arbitration only of users. How arbitration applies to a parent-created under-13 account is described in the parent Terms addendum (Section 13). That addendum is not a public under-13 offer.
11.3 Covered Disputes
This Section covers any dispute, claim, or controversy arising out of or relating to these Terms, the Privacy Policy, your account, your use of the Service, or our data practices — including contract, privacy, consumer-protection, and statutory claims — except: (a) claims that must legally be brought in small-claims court, which either party may still bring under Section 11.5; (b) matters within the jurisdiction of a government regulator, described in Section 11.9; and (c) the narrow emergency-relief exception in Section 11.10.
11.4 Informal Resolution First
Before starting an arbitration, you or STAK Athletics LLC must send a written notice to the other describing the account involved, the nature of the dispute, the relevant facts, and the resolution requested. Notices to us should be sent to admin@stonepile.com. Both sides will have 30 to 60 days to try to resolve the dispute informally before filing for arbitration. Minor, curable defects in a notice will not be treated as a basis to avoid this process.
11.5 Small Claims Court Preserved
Either party may bring an eligible individual claim in small-claims court instead of arbitration.
11.6 Arbitration Administrator and Procedure
Arbitration will be administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules then in effect. We currently intend to use AAA, but may designate a different, established consumer arbitration administrator in a future update to these Terms if necessary — for example, if AAA becomes unable or unwilling to administer a particular dispute — provided the substitute applies materially equivalent consumer protections. If we change administrators, we will update this Section and, for material changes, follow the notice process in Section 11.13. Fees will be allocated consistent with the administrator’s consumer rules so that you do not bear costs materially greater than ordinary court filing costs. Proceedings may be conducted by documents, telephone, or video where appropriate, and any necessary in-person hearing will be held at a location reasonably convenient to you. The arbitrator may award any individual remedy a court could award, subject to applicable law, and may not award relief on behalf of anyone other than the parties to that arbitration.
11.7 Class Action and Mass Arbitration
You and STAK Athletics LLC agree that any arbitration or court proceeding will be conducted only on an individual basis and not as a class, collective, consolidated, or representative action, except to the extent a mandatory legal rule requires otherwise. If a large number of substantially similar individual arbitration demands are filed, We and the arbitration administrator may apply a mass-arbitration protocol that stages representative cases, coordinates administration, and may require additional mediation — provided that protocol does not extinguish an individual’s claim solely through delay or make individual recovery practically impossible. This baseline description is appropriate for our current small-scale internal testing population; before a public launch or open beta, we will finalize a complete mass-arbitration protocol with counsel experienced in mass-arbitration drafting, aligned to the administrator’s then-current rules, and will publish it separately.
11.8 Right to Opt Out
You may opt out of this arbitration agreement by sending written notice to admin@stonepile.com within 30 days of first accepting these Terms (or, for an account created before this arbitration provision existed, within 30 days of notice of this provision). The notice should identify the account and state that you are opting out of arbitration. Opting out does not affect your ability to use the Service, and does not affect any other part of these Terms.
11.9 Regulators and Safety Reporting Preserved
Nothing in this Section prevents you from contacting the FTC, a state Attorney General, a privacy regulator, law enforcement, or a child-safety authority, or from cooperating in a government investigation.
11.10 Narrow Emergency Relief
Either party may seek emergency or preliminary relief in court where immediate action is reasonably necessary to stop unauthorized account access, prevent misuse or publication of sensitive media, address an urgent security threat, or protect intellectual property, without that request waiving the obligation to arbitrate the underlying dispute.
11.11 Jury Trial Waiver
To the extent any dispute is not subject to arbitration for any reason, you and STAK Athletics LLC each waive the right to a jury trial for that dispute, to the fullest extent permitted by law.
11.12 Severability
If the class-action-waiver portion of this Section is found unenforceable as to a particular claim, that claim (and only that claim) may proceed in court rather than arbitration, while the remainder of this Section, including the obligation to arbitrate all other claims individually, remains in effect. If any other portion of this Section is found unenforceable, the remainder remains in effect to the maximum extent permitted by law.
11.13 Material Changes
We will not apply a materially adverse change to this Section retroactively to a dispute that arose before the change, and will provide conspicuous notice and, where appropriate, a new 30-day opt-out opportunity for material changes to the arbitration agreement, class-action waiver, or covered claims.
12. Limitation of Liability
To the fullest extent permitted by law, STAK Athletics LLC shall not be liable for indirect, incidental, or consequential damages arising from your use of the Service. Nothing in this Section limits liability that cannot be limited under applicable consumer-protection law.
13. Children Under 13
These Terms authorize use by eligible users ages 13 and older as described in Section 2. The generally available Service does not offer under-13 signup. A parent Terms addendum is published at stonepile.com/parent-terms (version v1.3-coppa-draft), distinct from COPPA privacy consent at stonepile.com/privacy-children. That architecture is not a public offer. General under-13 onboarding stays off until a later App Store release that matches those addenda.
14. Termination and Account Deletion
We may suspend or terminate access to the Service for a violation of these Terms, consistent with our content-moderation and legal-reporting obligations. You may stop using the Service and delete your account in the App (Profile → Privacy & Safety → Delete account) or by contacting admin@stonepile.com; deletion timing follows the schedule in our Privacy Policy.
15. Governing Law and Venue
These Terms are governed by the laws of the Commonwealth of Virginia, without regard to its conflict-of-law principles, except that arbitration under Section 11 is governed by the Federal Arbitration Act. This choice of law does not deprive a resident of another state of any consumer protection right that state law does not permit to be waived by contract.
16. Changes to These Terms
We may update these Terms from time to time. For material changes — including changes to Section 11 (Arbitration) — we will provide advance, conspicuous notice and, where Section 11.13 requires it, a new acceptance and opt-out opportunity, rather than relying on continued use alone. Non-material changes take effect immediately upon posting to this page.
